· Pay all fees and charges associated with the services in accordance with the agreed-upon terms.

5. Fees and Payments

· Payments are due within the time frame specified in the invoice or agreement. Late payments may incur interest or fees.

· The client is responsible for any applicable taxes, unless otherwise specified.

6. Intellectual Property

· Any intellectual property created or provided by TRI Technical Services LLC as part of our services remains the property of the company unless explicitly transferred to the client.

· Clients are granted a non-exclusive, non-transferable license to use deliverables for their intended purpose.

· You agree not to copy, modify, distribute, or resell any content or deliverables created by TRI Technical Services LLC without prior written consent.

7. Confidentiality

Both parties agree to keep all confidential information exchanged during the course of the engagement private and secure. Confidential information includes, but is not limited to, business strategies, technical data, and client-provided materials.

8. Limitation of Liability

To the fullest extent permitted by law:

· TRI Technical Services LLC shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the use of our services.

· Our total liability for any claims related to our services shall not exceed the amount paid by the client for those services.

9. Termination

· Either party may terminate the agreement with written notice if the other party breaches these Terms or any agreed-upon contract.

· Upon termination, you must pay for any services rendered up to the date of termination.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California. without regard to its conflict of law provisions. Any disputes will be resolved exclusively in the courts of California.

11. Changes to Terms

TRI Technical Services LLC reserves the right to update these Terms at any time. Changes will be posted on our website and will take effect upon posting. Continued use of our services constitutes acceptance of the updated Terms.
